1. Acceptance of Terms

By accessing or using the services, website, content, or educational resources provided by KnowledgeFlow – Canada’s Cybersafety Foundation (“KnowledgeFlow,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service and Resource Licensing Terms (“Terms”).

If you do not agree to these Terms, please do not access or use our services, website, content, or resources.

We may update or modify these Terms at any time without prior notice. Your continued use of our services, website, content, or resources after any changes are posted constitutes your acceptance of the revised Terms.

2. Educational Purpose and Lawful Use

Our services, website, content, and resources are provided for educational and informational purposes. You agree to use them only in accordance with these Terms and all applicable laws and regulations.

Our educational resources include, without limitation, guides, checklists, templates, training materials, and other materials intended to promote cybersafety and digital literacy.

3. Intellectual Property and Copyright

Unless otherwise indicated, all content and resources provided by KnowledgeFlow—including text, graphics, logos, images, software, guides, checklists, templates, and educational materials—are owned by KnowledgeFlow or its content suppliers and are protected by copyright, trademark, and other applicable intellectual property laws.

You may use and share our resources only as expressly permitted under these Terms or with our prior written permission.

4. Permitted Uses

Subject to the conditions below, you may:

Download and use our resources for personal, non-commercial purposes.
Use our resources in non-commercial educational settings, including classrooms, workshops, and community programs.
Distribute or share our resources in their original, unaltered form, provided all KnowledgeFlow branding, copyright notices, and attribution remain intact.
Incorporate unaltered resources into nonprofit training programs or community initiatives, provided the use does not result in commercial gain.

All permitted uses must support educational, cybersafety, digital literacy, or related nonprofit purposes.

5. Prohibited Uses

Unless you have received prior written permission from KnowledgeFlow, you may not:

Sell, license, sublicense, rent, or otherwise commercially exploit our content or resources.
Incorporate our resources into fee-based products, services, courses, or commercial projects.
Reproduce, duplicate, copy, resell, or exploit any part of our services, website, content, or resources except as expressly permitted by these Terms.
Alter, edit, translate, adapt, or create derivative works based on our resources.
Remove, obscure, or modify any KnowledgeFlow logo, branding, copyright notice, attribution, or other proprietary marking.
Use our content or resources in a manner that is unlawful, misleading, harmful, or inconsistent with KnowledgeFlow’s educational mission.

6. Attribution Requirements

When sharing or distributing a KnowledgeFlow resource, please include the following attribution:

“This resource was developed by KnowledgeFlow – Canada’s Cybersafety Foundation. For more resources, visit KnowledgeFlow.org.”

The attribution and any copyright notice included with the original resource must remain visible and intact.

7. Requests for Additional Permission

Written permission is required for uses not expressly permitted under these Terms. This includes, without limitation:

Translating resources into another language.
Modifying or adapting resources for a particular organization or audience.
Creating derivative works.
Incorporating resources into commercial products, services, or fee-based programs.
Using KnowledgeFlow branding separately from the original resources.

Permission requests should describe the materials involved, the proposed use, the intended audience, whether fees will be charged, and how the materials will be distributed.

8. Limitation of Liability

To the fullest extent permitted by applicable law, KnowledgeFlow and its affiliates, officers, directors, employees, and agents will not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your access to or use of—or inability to access or use—our services, website, content, or resources.

This limitation includes, without limitation, damages arising from loss of profits, goodwill, use, data, or other intangible losses.

9. Indemnification

You agree to defend, indemnify, and hold harmless KnowledgeFlow and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, debts, or expenses, including reasonable legal fees, arising from or related to:

Your use of our services, website, content, or resources.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Your infringement or violation of any third-party right, including copyright, trademark, privacy, or other intellectual property rights.

10. Suspension or Termination

KnowledgeFlow may suspend or terminate your access to its services, website, content, or resources at any time, without prior notice or liability, including where KnowledgeFlow reasonably believes that you have violated these Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Canada, without regard to conflict-of-law principles.
